1. Agreement to Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," "client") and Baggarium Inc. ("Company," "we," "us," "our"), concerning your access to and use of the www.baggarium.com website, as well as any related applications, media forms, media channels, mobile websites or mobile applications linked, connected, or otherwise made available (collectively, the "Service").

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms, conditions, or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. The Service is intended for users who are at least 18 years of age. Persons under the age of 18 are not permitted to use or register for the Service.

2. User Representations & Acceptable Use Policy

We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

3. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof), are owned by Baggarium Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally and ordinarily permitted through the Service according to these Terms or with our express prior written consent.

The name "Baggarium Inc.," our logos, and all related names, logos, product and service names, designs, and slogans are trademarks of Baggarium Inc. or its affiliates or licensors. You must not use such marks without the prior written permission of Baggarium Inc. All other names, logos, product and service names, designs, and slogans on this Service are the trademarks of their respective owners.


4. Payment Terms & Processing

We accept payments for our products and services through our third-party payment processor, Stripe, Inc. ("Stripe"). By making a purchase, you agree to provide current, complete, and accurate purchase and account information. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.

All payments shall be processed in U.S. Dollars. You authorize us, through Stripe, to charge your chosen payment provider for any such amounts upon placement of your order. If your payment method fails, we reserve the right to cancel your order or suspend your access to the Service until payment is received in full.

We partner with Mercury Bank for banking services. However, all payment transactions are handled by Stripe. Your payment details are transmitted directly to Stripe and are subject to their Privacy Policy and Terms of Service. We do not store your complete credit card or bank account information on our servers.

Sales tax, VAT, or other applicable taxes will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments are non-refundable unless otherwise stated in a separate, written refund policy applicable to a specific product or service.


5. Limitation of Liability & Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAGGARIUM INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THIS SERVICE.

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.


6. Force Majeure

Baggarium Inc. shall not be liable or responsible to you, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control ("Force Majeure Events"), including, without limitation, the following force majeure events: (a) acts of God; (b) flood, fire, earthquake, tsunami, or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest; (d) government order, law, or action; (e) embargoes or blockades in effect on or after the date of this Agreement; (f) strikes, labor stoppages or slowdowns, or other industrial disturbances; (g) shortage of adequate power or telecommunications or transportation facilities; (h) other similar events beyond our reasonable control.


7. Indemnification

You agree to defend, indemnify, and hold harmless Baggarium Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Contributions, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.


8. Governing Law & Dispute Resolution

Governing Law.
These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Informal Negotiations.
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, "Disputes"), you and Baggarium Inc. agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations will commence upon written notice from one party to the other.

Binding Arbitration.
If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be initiated and conducted according to the Commercial Arbitration Rules of the American Arbitration Association ("AAA") then in effect. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law. YOU UNDERSTAND THAT, ABSENT THIS MANDATORY PROVISION, YOU MAY HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

Exceptions to Informal Negotiations and Arbitration.
The parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

Venue and Jurisdiction for Legal Action.
For any Dispute not subject to arbitration, or where arbitration rules allow for court action, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in New York County, New York, for the purpose of litigating all such Disputes. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
